We refer to the Company’s announcements dated 18 August 2023. Unless otherwise stated, the definitions and terms used herein shall have the same meaning as defined in those announcements.

A. Contributories’ and Creditors’ meeting

The Board of Directors of Serba Dinamik Development Sdn Bhd (In Liquidation) (“SDDSB”) wishes to announce the following. Pursuant to the Court Order dated 17 August 2023, the Liquidator for SDDSB is calling for a meeting of contributories and meeting of creditors (collectively known as “Contributories’ and Creditors’ Meeting”) to provide a status update on the liquidation and to consider the appointment of a Committee of Inspection under the Tenth Schedule of the Companies Act 2016.

The Contributories’ and Creditors’ Meeting of SDDSB is to be held as follows:

Enclosed in Appendix 1 is Form 67 - Notice of Meeting for Contributories Meeting and enclosed in Appendix 2 is Form 67 - Notice of Meeting for Creditors Meeting for reference.

Kindly take note of the following during the Contributories’ and Creditors’ Meeting:

a. A contributory/creditor may vote either in person or by proxy.

b. A contributory/creditor may give a general proxy to his manager or clerk or any other person in his regular employment. 

c. A contributory/creditor may give a special proxy to any person to vote at any specified meeting or adjournment thereof –

    (i) for or against the appointment of a Committee of Inspection;

    (ii) for or against the appointment in office of any specified person as member of the Committee of Inspection;

    (iii) on all questions relating to any matter other than those referred to above and arising at the meeting or an adjournment thereof.

d. In the case of a corporation, the instrument appointing a proxy or proxies must be under seal or given under the hand of an officer or attorney duly authorised.

B. Poll Administrator

The Liquidator has appointed Tricor Investor & Issuing House Services Sdn Bhd to be the poll administrator for the Contributories’ and Creditors’ Meeting.  They will, among other things, be handling the registration of member of proxies.  In this regard, please lodge either Form 73 General Proxy or Form 74 Special Proxy to the Poll Administrator at the following addresses no later than 5:00 p.m. on Tuesday, 16 April 2024:

C. Voting at the Creditors’ Meeting

Pursuant to Rule 124 of the Companies (Winding-Up) Rules, 1972, to entitle creditors to vote at the Creditors’ Meeting, a Proof of Debt General Form as at 17 August 2023 (“POD General Form”) must be lodged with the Liquidator together with document(s) to support creditors’ claim no later than 5:00 p.m. on Monday, 8 April 2024. All forms and supporting documents must be lodged with the Liquidator at the following address:

Please note that the lodgement of the POD General Form is intended solely for the purpose of voting at the Creditors’ Meeting. For avoidance of doubt, the Liquidator will not be adjudicating any POD General Form at this juncture.
