Reference is made to Privasia’s announcement dated 13 March 2024 in relation to the acquisition of the 51% equity interest in DJava Factory Sdn. Bhd (“DJF”).

(For consistency purposes, the abbreviations and definitions used throughout this announcement are the same as those previously defined in the announcement dated 13 March 2024.)

The Board of Directors of Privasia wishes to announce that, Privasia has on 2 July 2024 completed the acquisition of the 127,500 ordinary shares, representing 51% of the total equity interest in DJF upon fulfilling the Clause 2.3 on the manner of payment as announced on 13 March 2024. Following the completion, DJF became a subsidiary of Privasia.

The above transaction will have no effect on the share capital and shareholding of the substantial shareholder of the Company as the acquisition does not involve any issuance of new ordinary shares in Privasia. The Acquisition is not expected to have any material effect on the net assets, net asset per share and gearing of the Company.

None of the directors and/or major shareholders of the Company and/or persons connected with them have any interest, direct or indirect, in the Acquisition.

This is a voluntary announcement under Rule 10.05(2) of the Ace Market Listing Requirements of Bursa Malaysia Securities Berhad.
