PUC FOUNDER (MSC) BERHAD (“PUCF”)

• INCORPORATION OF NEW SUBSIDIARY – AUSSCAR TECHNOLOGY SDN. BHD.  (“INCORPORATION”)

The Board of Directors of PUCF wishes to announce the incorporation of a wholly-owned subsidiary, namely Ausscar Technology Sdn. Bhd. ("ATSB") on 23 September 2015. The intended principal activities of ATSB are e-commerce and software development for financial related services.

ATSB has an authorised capital of RM400,000 comprising 400,000 ordinary shares of RM1.00 each and an issued and paid-up capital of RM2.00.

The Incorporation is not expected to have any effect on the share capital and substantial shareholders’ shareholding of PUCF nor any material effect on the earnings, gearing and net assets of PUCF and its subsidiaries for the financial year ending 31 December 2015. None of the Directors and/or major shareholders of PUCF and/or persons connected with them have any interest, direct or indirect in the Incorporation.

The Board of Directors of PUCF is of the opinion that the Incorporation is in the best interest of PUCF.
