The Board of Directors of GENM (“Board”) refers to the announcements dated 6 August 2019, 15 August 2019, 20 August 2019, 5 November 2019 and 14 November 2019 (“Announcements”) in respect of the Proposed Transactions. The definitions used throughout this announcement, unless stated otherwise, shall have the same meaning(s) as those used in the Announcements.
With reference to GENM’s announcement on 14 November 2019, the Board wishes to announce the successful completion of the Proposed Merger under the terms of the Merger Agreement. JVCo and Empire have taken the necessary steps to delist all Empire Common Stock from the Nasdaq Global Select Market and expect to deregister all Empire Common Stock under the Securities Exchange Act of 1934, as amended.
The completion of the Proposed Merger, which took place on 15 November 2019 (United States Eastern date/time), marked the completion of the Proposed Transactions.
