TCC Assets Limited ("TCC") holds 58.92% voting shares in Fraser and Neave, Limited ("FNL" and its voting shares, "FNL Shares").
FNL holds 203,470,910 ordinary shares (which represents 55.47% of the voting shares) in Fraser & Neave Holdings Bhd ("FNHB").
On 17 July 2024, pursuant to an internal restructuring, InterBev Investment Limited ("IBIL") entered into a conditional share swap agreement with TCC pursuant to which (a) TCC shall transfer or procure the transfer to IBIL and/or its nominees 41.31% FNL Shares ("FNL Transfer Shares"); and (b) IBIL shall transfer to TCC and/or its nominees 28.78% voting shares in Frasers Property Limited (the "Proposed Share Swap").
The Share Swap was completed on 20 September 2024, following which IBIL now holds 69.63% FNL Shares. As TCC's interest in FNL Shares has decreased to 17.61%, TCC ceases to have a deemed interest in FNHB.
FNL Shareholding percentages are based on a total of 1,456,444,679 shares in issue (excluding treasury shares). |
