BPURI - Notice of Rights Entitlement (Ratio)

RENOUNCEABLE RIGHTS ISSUE OF UP TO 439,345,450 NEW ORDINARY SHARES IN BINA PURI HOLDINGS BHD ("BINA PURI" OR THE "COMPANY") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.09 PER RIGHTS SHARE TOGETHER WITH UP TO 439,345,450 FREE DETACHABLE WARRANTS IN BINA PURI ("WARRANTS") ON THE BASIS OF 1 RIGHTS SHARE TOGETHER WITH 1 FREE WARRANT FOR EVERY 1 EXISTING ORDINARY SHARE IN BINA PURI ("BINA PURI SHARES" OR "SHARES") HELD BY ENTITLED SHAREHOLDERS OF BINA PURI AT 5.00 P.M. ON 28 NOVEMBER 2019 ("RIGHTS ISSUE WITH WARRANTS")
 

Kindly be advised of the following :

1)    The above Company’s securities will be traded and quoted “EX-RIGHTS ISSUE”  as from: 27 Nov 2019
2)    The last date of lodgment : 28 Nov 2019
3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
       a)    Selling Broker to deduct<1/2>, of Selling Price against the Selling Client
       b)    Buying Broker to deduct <10%>, of Purchase Price against the Buying Client
       c)    Between Broker and Broker, the deduction of <1/2>, of the Transacted Price is applicable.

Remarks:-  The Abridged Prospectus together with the notice of provisional allotment and rights subscription form pursuant to the Rights Issue with Warrants (collectively, the "Documents") will only be despatched to the shareholders of Bina Puri whose names appear in Bina Puri's Record of Depositors as at 5.00 p.m. on 28 November 2019 ("Entitled Shareholders") and who have a registered address in Malaysia or who have provided the Share Registrar, Tricor Investor & Issuing House Services Sdn Bhd, with a registered address in Malaysia in writing by 5.00 p.m. on 28 November 2019. The Documents are not intended to (and will not be made to) comply with the laws of any country or jurisdiction other than Malaysia, and are not intended to be (and will not be) issued, circulated or distributed in countries or jurisdictions other than Malaysia and no action has been or will be taken to ensure that the Rights Issue with Warrants complies with the laws of any country or jurisdiction other than the laws of Malaysia. Entitled Shareholders without an address for the service of documents in Malaysia and wish to provide a Malaysian address, should inform their respective stockbrokers and the Share Registrar, Tricor Investor & Issuing House Services Sdn Bhd, to effect the change of address by 5.00 p.m. on 28 November 2019.
