| Circumstances by reason of which change has occurred | Increase in the number of BAB Shares over which the deemed interest is held as a result of:- (a) subscription by OBSB of 512,072,000 Rights Shares pursuant to the Renounceable Rights Issue; and (b) issuance and allotment of 512,072,000 new BAB Shares by BAB to OBSB pursuant to the Bonus Issue. PanOcean’s deemed interest in the BAB Shares held by OBSB arises by virtue of the deemed interest of Excorp Holdings N.V. (“Excorp”) in the BAB Shares. PanOcean holds 100% equity interest in Excorp which in turn holds 100% equity interest in Pacific States Investment Limited (“PSIL”). PSIL holds 99.999% equity interest in Usaha Tegas Sdn Bhd (“UTSB”). UTSB holds 100% equity interest in Mutu Saluran Sdn Bhd which in turn holds 100% equity interest in OBSB. PanOcean is the trustee of a discretionary trust, the beneficiaries of which are members of the family of Ananda Krishnan Tatparanandam and foundations including those for charitable purposes. Although PanOcean is deemed to have an interest in the BAB Shares held by OBSB, PanOcean does not have any economic or beneficial interest over such BAB Shares, as such interest is held subject to the terms of the discretionary trust referred to above. |
