Reference is made to the query letter received by Scope Industries Berhad (“Scope” or the “Company”) from Bursa Malaysia Securities Berhad (“Bursa Securities”) dated 4 June 2025 (Ref. IQL-04062025-00001) pertaining to the announced material litigation.
Our official response is as follows:-
1. Date of the Writ of Summons.
The Writ of Summons is dated 28 May 2025 which was received by the Company on 30 May 2025.
2. Whether SMSB is a major subsidiary of Scope Industries.
SMSB is a not a major subsidiary of Scope. For the unaudited 9-months financial period ended 31 March 2025, SMSB contributed a loss of RM4.1 million of the Group’s RM2.5 million operating loss. As at 31 March 2025, SMSB’s total assets of RM64.1 million represents 35% of the Group’s total assets of RM182.3 million.
3. Details of events leading to the commencement of the Writ of Summons.
The Plaintiff had filed the Originating Summons and inter parte injunction against Scope. The case management on the Originating Summons was held on 29 May 2025 and the High Court of Malaya at Pulau Pinang had on the same date, not granted an injunction to the Plaintiff pursuant to the inter parte hearing.
Following thereto, the Plaintiff has now filled the Writ of Summons against SMSB seeking, among other reliefs, an injunction to restrain SMSB from disclosing the Plaintiffs’ confidential information to any third party without their prior consent.
4. The estimated potential liability to Scope Industries group, arising from the Writ of Summons.
Scope does not expect any potential liability arising from the Writ of Summons.
5. The expected financial and operational impact to Scope Industries group arising from the Writ of Summons.
Save for legal costs, the Group does not expect any financial and operational impact from the Writ of Summons.
6. The steps taken or proposed to be taken by Scope Industries in respect of the Writ of Summons.
The Group will seek legal counsel to advise on the Writ of Summons.
Any further steps taken or proposed will depend on the outcome of the inter parte hearing for interim injunction fixed for 11 June 2025 and the case management for the Writ of Summons on 12 June 2025.
Further announcement will be made upon any material developments in regards to this matter.
