QL - NOTICE OF BONUS & RIGHTS ENTITLEMENT

LISTING'S CIRCULAR NO. L/Q : 69777 OF 2014

1) BONUS ISSUE OF 249,605,886 NEW ORDINARY SHARES OF RM0.25 EACH IN QL RESOURCES BERHAD ("QL") ("QL SHARE(S)" OR "SHARE(S)") ("BONUS SHARE(S)") ON THE BASIS OF THREE (3) BONUS SHARES FOR EVERY TEN (10) EXISTING QL SHARES HELD IN QL ON 14 FEBRUARY 2014 ("BONUS ISSUE").

2) RENOUNCEABLE RIGHTS ISSUE OF 166,403,924 NEW ORDINARY SHARES OF RM0.25 EACH IN QL RESOURCES BERHAD ("QL") ("QL SHARE(S)") ("RIGHTS SHARE(S)") AT AN ISSUE PRICE OF RM1.80 PER QL SHARE ON THE BASIS OF TWO (2) RIGHTS SHARES FOR EVERY TEN (10) EXISTING QL SHARES HELD BY OUR SHAREHOLDERS AS AT 5.00 P.M. ON 14 FEBRUARY 2014 ("RIGHTS ISSUE").

Kindly be advised of the following:

1) The above Company's securities will be traded and quoted [ "Ex - All" ]
as from : [12 February 2014]

2) The last date of lodgement : [14 February 2014]

3) Retention Money : Where securities are not delivered in time for registration by the seller, then the brokers concerned :-

a) Selling Broker to deduct [1/3 ] , of the Selling Price against the Selling Client.

b) Buying Broker to deduct [ 30% ] of the Purchase Price against the Buying Client.

c) Between Broker and Broker, the deduction of [ 1/3 ] of the Transacted Price is applicable.


Remarks : "Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place on 17 February 2014 with bonus issue of QL shares of RM 0.25 each, any shareholder who is entitled to receive QL bonus issue shares, may sell any or all of his QL shares arising from the bonus issue beginning the Ex-Date
(12 February 2014 ).

For example, if Mr X purchases 100 QL shares on cum basis on 11 February 2014, Mr X should receive 100 shares on 14 February 2014. As a result of the bonus issue, a total of 130 QL shares will be credited into Mr X's CDS account on the night of 14 February 2014 being the Book Closing Date. Therefore, Mr X can sell the bonus issue shares of 130 on or after the Ex-Date ie from 12 February 2014 onwards."
