Computer Forms takeover offer turns unconditional

KUALA LUMPUR (Dec 6): Tan Sri Robert Tan Hua Choon’s RM1.35 per share offer to take over shares he does not own in Computer Forms (M) Bhd has turned unconditional after his shareholdings surpassed 50% of the group’s voting shares today.

In a filing with Bursa Malaysia, Computer Forms said that with the valid acceptances Tan received, his shareholding in the group amounted to 51.23%.

Nonetheless, the filing noted that the offer remains open for acceptances until Dec 20.

Tan had made the offer at RM1.25 on Oct 26, which independent adviser Public Investment Bank Bhd (PIVB) opined was “not fair and not reasonable”.

Tan then revised the offer to RM1.35 on Monday, but this was still not high enough to convince PIVB to change its view on the offer.

Computer Forms’ shares closed unchanged at RM1.27 today, valuing the group at RM52.07 million.
