Off-Market Trades: Sin Heng Chan (Malaya) Bhd, Hubline Bhd, Sentoria Group Bhd, Dolphin International Bhd

ON July 5, Sin Heng Chan (Malaya) Bhd (SHC) saw its directors, Sheldon Wee Tah Poh and Lee Kok Choon, cease to be shareholders of the oil palm plantation company.

Filings with Bursa Malaysia show that Wee and Lee disposed of their respective 2.5 million shares or 1.89% stake. It is unclear whether they will continue as directors of SHC.

The shares were disposed of at 33 sen apiece — a 6.45% premium to the counter’s closing price of 31 sen that day.

Wee and Lee were appointed to SHC’s board in July 2017 and June 2018 respectively. They are shareholders of KJ Technical Services Sdn Bhd (KJTS). KJTS was one of the companies that SHC invested in in August 2017 to diversify into the energy and facility management services industry.

On May 14, Wee and Lee exercised the call option on the 25% stake in KJTS that SHC had acquired from them in August 2017, for RM10.5 million.

The largest shareholder of SHC is Datuk Choo Keng Weng, who has a 27.22% stake. The scarcely traded stock closed at 29 sen per share last Wednesday, giving the group a market capitalisation of RM38 million.

On July 5 and 8, Billion Power Sdn Bhd acquired 55 million shares or a 1.22% stake in Hubline Bhd at five sen per share, increasing its holding in the break-bulk shipping services company to 7.6% as at July 9.

The largest shareholder of Hubline is BNDM Incorporated Holdings Sdn Bhd with a 32.38% stake.

In a bid to diversify its source of income, Hubline acquired a 51% stake in Layang Layang Aerospace Sdn Bhd for a total purchase consideration of RM14.2 million on May 15, giving it a foothold in the oil and gas air transport services industry.

The acquisition comes with a profit guarantee of RM10.5 million for the financial year ending Dec 31, 2019 (FY2019), FY2020 and FY2021 from the vendors. Layang Layang Aerospace is a registered service provider of Petronas, with bases in Miri Airport and Kota Kinabalu International Airport.

Sentoria Group Bhd, an operator of theme parks and a property developer, saw its largest shareholder Sentoria Capital Sdn Bhd dispose of seven million shares or a 1.255% stake at 25 sen per share on July 8.

The transaction price was on the upper end of the counter’s trading price of 23 sen to 25 sen that day. The stock traded at 22.5 sen per share last Thursday, giving the group a market capitalisation of RM128 million.

Sentoria Capital — owned by Datuk Gan Kim Leong and Datuk Chan Kong San — holds a 55.88% stake in Sentoria.

On July 4, Low Teck Yin disposed of three million shares or 1.23% equity interest in Dolphin International Bhd at 10.8 sen per share through a direct deal off market. The disposal reduced his stake in the mechanical and engineering solutions provider to 17.05%.

The consideration was at a discount of between 6.08% and 13.6% to the counter’s trading price that day.

Low is the group managing director of Dolphin as well as its second largest shareholder after Hoh Yeong Cheng, who has a 17.25% stake. On the same day, Hoh also disposed of 400,000 shares through direct deals off market.
