| The Bonus Issue involves the issue of up to 56,781,600 new Shares on the basis of one (1) new Share for evey one (1) existing Share held in Grand-Flo Solution Berhad ("Grand-Flo"). The actual number of new Shares to be issued pursuant to the Bonus Issue is dependent on the issued and paid-up share capital of Grand-Flo as at the entitlement date of the Bonus Issue ("Entitlement Date"), taking into account any new Shares to be issued prior/on the Entitlement Date arising from:- (i) exercise of any options granted to Grand-Flo's employees under its Employee Share Option Scheme which may be exercised prior to the Entitlement Date; and (ii) any new Shares to be issued pursuant to the private placement of up to 5,019,600 new Shares which was approved by the Securities Commission on 17 April 2006. |
