We refer to the announcement dated 2 November 2021, as well as the circular to the shareholders of MyKRIS International Berhad ("MyKRIS or "the Company") dated 16 December 2021 ("Circular") in relation to the Proposed Withdrawal of Listing and Proposed Exit Offer. Unless otherwise defined, the definitions set out in the Circular shall apply herein.
As stated in Section 3.3 of the Circular, if the Company declares, makes or pays any dividend and/or other distribution ("Distributions") on or after the date of the written notice but prior to the closing date of the Proposed Exit Offer, and the holders of the Offer Shares are entitled to retain such Distributions, the Joint Offerors will reduce the Offer Price by the quantum of the net Distributions per MyKRIS Share which the holder is entitled to.
In view that the entitlement date of the Special Dividend is during the offer period (i.e. the period from the date of the Proposal Letter to the closing date of the Proposed Exit Offer), the Offer Price shall be adjusted from RM0.49 to RM0.42 (i.e. RM0.49 - RM0.07 = RM0.42) per Offer Share. |
