| The aforementioned number of ordinary shares of RM0.50 each in HLPB to be distributed to shareholders of HLCB pursuant to the Capital Distribution is subject to the actual issued and paid-up share capital of HLCB as at the Entitlement Date. Warrant holders of HLCB will NOT qualify for entitlement to the Capital Distribution UNLESS they lodge their duly completed relevant subscription forms together with the subscription monies at the exercise price of RM4.99 for every one(1) new ordinary share of RM1.00 each in HLCB subscribed with HLCB's share registrar, namely, Hong Leong Nominees Sdn Bhd at Level 5, Wisma Hong Leong, 18 Jalan Perak, 50450 Kuala Lumpur, Malaysia prior to 5.00 p.m. on 25 June 2003. Warrant holders who do not exercise their subscription rights and whose names appear in the warrants register on 1 July 2003 shall be entitled to an adjustment to the exercise price of the said warrants pursuant to the Deed Poll dated 25 June 1997 and supplemented by a Supplemental Deed Poll dated 26 January 2000 constituting the said warrants. An information circular on the adjustment to the exercise price will be despatched to the warrant holders in due course. This announcement is dated 12 June 2003. |
