| We refer to the announcements made on behalf of the Board of Directors ("Board") of IOIC, by AmInvestment Bank Berhad and RHB Investment Bank Berhad (collectively referred to as the ("Joint Principal Advisers") on 14 May 2013, 17 May 2013, 24 June 2013, 22 August 2013, 3 December 2013, 5 December 2013 and 6 December 2013 as well as the announcement made on even date in relation to the entitlement date for the Restricted Offer For Sale. Under the Distribution, entitled shareholders of IOIC will receive one (1) ordinary share in IOIPG for every three (3) IOIC Shares held as at 5.00 p.m. on 23 December 2013. Any fractional entitlements will be disregarded and will be dealt with in such manner as the Board of IOIC and IOIPG in their absolute discretion deems fit and expedient in the best interest of IOIPG.
