The underwriting agreement in relation to the Warrants OFS was executed on 2 December 2003. If any of the 149,429,023 existing MPHB warrants as at 15 December 2003 expiring on 23 May 2004 with an exercise price of RM4.00 (Outstanding Warrants) is exercised on or before the book closure date, i.e. 5 January 2004, the number of issued and paid-up share capital of MPHB will be increased resulting in the need to increase the number of Warrants required for the Warrants OFS on the basis of one (1) Warrant for every ten (10) existing MPHB Shares held (Basis of Entitlement), then: (i) the number of Warrants for the Warrants OFS will be increased by such number of Warrants to enable the Basis of Entitlement to be maintained; (ii) the number of Warrants available under the private placement of 104,613,673 Warrants to identified investors at an offer price of 10.5 sen per Warrant (Warrants Placement) shall be reduced by an amount equal to the additional number of Warrants under the Warrants OFS. If, where there is any remaining Warrants under the Warrants Placement not successfully placed out, then: (i) such excess Warrants not successfully placed out shall be included in the Warrants OFS as additional Warrants under the Warrants OFS; and (ii) the Basis of Entitlement will be adjusted in a manner as may be determined by the Board of Directors at its discretion deem fit and expedient to best accommodate such additional Warrants under the Warrants OFS. |
