| Renounceable rights issue of:- · up to a maximum of 35,420,000 Rights Shares at an issue price of RM1.00 per Rights Share; and · up to a maximum of RM35,420,000 nominal value of ICULS at 100% of the nominal value, together with up to a maximum of 35,420,000 free Warrants, on the basis of 1 Rights Share and RM1.00 nominal value of ICULS together with 1 free Warrant attached for every 3 existing Shares held at 5.00 p.m. on 7 December 2006 The renounceable entitlements to both the Rights Shares and the ICULS must be subscribed by the entitled shareholders whose names appear in the Record of Depositors of TRC Synergy Berhad at 5.00 p.m. on 7 December 2006 ("Entitled Shareholders") in full or in part (subject to the subscription of the Rights Shares and ICULS in an equal proportion), as a package and not to be subscribed separately or disproportionately. Entitled Shareholders who renounce all or any part of their entitlements to the Rights Shares or the ICULS provisionally allotted to them under the Rights Issue will simultaneously relinquish their corresponding entitlements to the ICULS or the Rights Shares (as the case may be) including their corresponding entitlements to the Warrants. The Abridged Prospectus accompanying the Notice of Provisional Allotment and Rights Subscription Form will be sent to the Entitled Shareholders. This announcement is dated 17 November 2006. |
