| The trading of the units in Boustead REIT ("Units") on the Main Market of Bursa Malaysia Securities Berhad ("Bursa Securities") will be suspended with effect from 9.00 a.m. on Monday, 23 December 2013, being three (3) clear market days prior to the Entitlement Date (as defined below). Accordingly, the last day of trading for the Units on the Main Market of Bursa Securities prior to the aforesaid suspension will be at 5.00 p.m. on Friday, 20 December 2013. For the avoidance of doubt, the trading of the Units will continue to be suspended with effect from 9.00 a.m. on Monday, 23 December 2013 until the removal of Boustead REIT from the Official List of Bursa Securities. The Record of Depositors of Boustead REIT will be closed at 5.00 p.m. on Monday, 30 December 2013, being the date determined by the Board of Directors of Boustead REIT Managers Sdn Bhd and approved by the trustee of Boustead REIT, CIMB Islamic Trustee Berhad ("Entitlement Date") for purposes of determining the Unitholders' entitlements under the SUR and Special Dividend. The SUR involves the redemption by Boustead REIT of all Units that are held by the entitled unitholders at a redemption price of RM1.94 for each Unit ("SUR Offer Price"), which will be paid to all entitled unitholders whose names appear in the Record of Depositors on the Entitlement Date. Following the payment of the SUR Offer Price, the Units which are redeemed will be debited from the entitled unitholders' Central Depository System accounts, cancelled accordingly and the names of the Unitholders whose Units have been redeemed will be removed from the Record of Depositors. No further action is required from the Unitholders during the redemption process. As a condition to the SUR, Boustead REIT will also pay a Special Dividend of RM0.16 for each Unit held by all Unitholders of Boustead REIT (including BPB). Malaysian withholding tax will be deducted from the Special Dividend made to the following types of Unitholders: Tax resident companies (Withholding tax rate: 0%) Resident and non-resident individuals (Withholding tax rate: 10%) Resident institutional investors (Withholding tax rate: 10%) Non-resident institutional investors (Withholding tax rate: 10%) Non-tax resident companies (Withholding tax rate: 25%) Nominees (Withholding tax rate: Rates applicable to respective beneficial owners of the Units) The payment of the Special Dividend will be made on 28 January 2014 and the payment of the SUR Offer Price will be made on 29 January 2014. BPB does not intend to maintain the listing status of Boustead REIT on the Main Market of Bursa Securities after the completion of the SUR and Special Dividend. Therefore, BPB will request Boustead REIT Managers Sdn Bhd, the manager of Boustead REIT, to submit an application to Bursa Securities to delist Boustead REIT and withdraw its listing status from the Official List within three (3) months after the completion of the SUR and Special Dividend. The Notice to Unitholders in relation to the suspension of trading of the Units and the Entitlement Date will be despatched to the Unitholders of Boustead REIT on 12 December 2013. |
