| The Bonus Issue shall involve the issuance of 26,644,496 new Subdivided Kossan Shares ("Bonus Shares"), to be credited as fully paid-up, on the basis of two (2) Bonus Shares for every ten (10) Subdivided Kossan Shares held after the share split of each of the existing ordinary shares of RM1.00 each in Kossan into two (2) Subdivided Kossan Shares ("Share Split"). The Bonus Shares to be issued pursuant to the Bonus Issue will be listed on the Main Board of Bursa Securities and shall, upon allotment and issue, rank pari passu in all respects with the then issued and fully paid-up Subdivided Kossan Shares except that the Bonus Shares will not be entitled to any dividends, rights, allotments or any other distributions declared, made or paid to shareholders, for which record date precedes the date of allotment of the Bonus Shares. As such, the Bonus Shares will not be entitled for the final dividend of 10% gross less 28% income tax for the financial year ended 31 December 2004. |
