We refer to the announcements dated 21 August 2017, 15 September 2017, 18 September 2017, 20 September 2017, 5 October 2017, 10 October 2017, 16 October 2017, 7 November 2017, 14 November 2017, 24 November 2017, 11 December 2017, 5 January 2018 and 15 January 2018. Words and expressions defined in this announcement shall have the same meaning as the words and expressions defined or used in the announcement dated 10 October 2017.

The merger which is being undertaken by way of a members scheme of arrangement under Section 366 of the Act between Scomi Engineering and the Scheme Shareholders involves the acquisition and transfer of all the Scomi Engineering Scheme Shares to Scomi and/or its nominee(s).  For avoidance of doubt, the Scomi Engineering Scheme Shares include Scomi Engineering Shares held by the PACs.  

In consideration of the acquisition and transfer of each Scomi Engineering Scheme Share from the Scheme Shareholders to Scomi and/or its nominee(s) pursuant to the Scheme, Scomi shall pay the Offer Price of RM0.30 for each Scheme Share which shall be satisfied entirely via:

(a)	a share swap where for every 7 Scomi Engineering Scheme Shares held by Scheme Shareholders, 10 new Consolidated Shares shall be issued at the Issue Price, and 

(b)	the issuance of 1 Warrant for every 10 Consideration Shares issued.

Scheme Shareholders whose names appear on the Record of Depositors of Scomi Engineering as at 5 p.m. on Thursday, 15 February 2018 ("Books Closing Date") will be entitled to participate in the Scheme.  The settlement of the Offer Price will be effected on Monday, 19 February 2018, via issuance of the Consideration Shares and Consideration Warrants.  The Consideration Shares and Consideration Warrants will be listed on the Main Market of Bursa Securities on 22 February 2018.

The trading of Scomi Engineering Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on Friday, 9 February 2018, being three (3) clear Market Days prior to the Books Closing Date, until the delisting of Scomi Engineering from the Official List of Bursa Securities.  Accordingly, the last day and time of trading of Scomi Engineering Shares on the Main Market of Bursa Securities prior to the suspension will be 5.00 p.m. on Thursday, 8 February 2018.  

The notice to shareholders in relation to the suspension of trading of Scomi Engineering Shares and the Books Closing Date for the Scheme ("Notice") will be despatched to Scomi Engineering Scheme Shareholders on 2 February 2018.
