| Concurrrently, the Company is also undertaking a renounceable rights issue of 15,292,500 new ordinary shares of RM1.00 each ("Rights Shares") in CICB at an issue price of RM1.10 per ordinary share on the basis of three (3) new ordinary shares for every two (2) existing ordinary shares held ("Rights Issue") prior to the Bonus Issue, for which the books closing date is also 29 December 2003. As the Bonus Issue and Rights Issue are inter-conditional upon each other, the Bonus Shares and Rights Shares must be listed on the Kuala Lumpur Stock Exchange ("KLSE") on the same market day. In accordance with paragraph 6.29 of the Listing Requirements of the KLSE, the Company must allot and issue the Bonus Shares, despatch the notices of allotment and make an application for the listing of and quotation for the Bonus Shares within ten (10) market days of the books closing date of the Bonus Issue. In this respect, AmMerchant Bank Berhad, on behalf of CICB, had on 19 November 2003 submitted an application to the KLSE seeking a waiver from complying with paragraph 6.29 of the Listing Requirements of the KLSE and allow the Company to allot and issue the Bonus Shares, despatch the notices of allotment and make an application for the listing of and quotation for the Bonus Shares within fifteen (15 ) market days from the closing date for acceptance and payment for the Rights Issue, i.e. concurrent with the timing of the Rights Shares as stipulated under paragraph 6.25 of the Listing Requirements of the KLSE. As at the date of this announcement, the said application is pending the approval of the KLSE. This announcement is dated 9 December 2003 |
