| The maximum number of Bonus Shares to be listed and quoted on the Main Market of Bursa Malaysia Securities Berhad is 104,925,388 Bonus Shares. The date of the issuance, listing and quotation of the Bonus Shares is on 28 September 2010. The Proposed Bonus Issue is expected to give rise to consequential adjustments to the existing FITTERS Diversified Berhad ("FITTERS" or the "Company") Warrants 2007/2012 (“Warrants”) including the number of additional Warrants and the exercise price (“Adjustments”). The Adjustments will only be finalised on the Entitlement Date and will be effective on the following market day thereafter. A notification to the Warrant holders setting out the Adjustments will be issued by the Company within fifteen (15) market days after its finalisation in accordance with the Deed Poll governing the Warrants. The holders of the Warrants who wish to be entitled to the Bonus Shares are advised to exercise their rights to subscribe for the new FITTERS Shares by lodging their duly completed subscription forms for the Warrants together with the relevant subscription monies with the Company’s Share Registrar (at the address stated above) as soon as practicable in order to allow adequate time for the Company to issue such new FITTERS Shares and in ensuring that their names would appear in the Record of Depositors for the FITTERS Shares on the Entitlement Date. Conversely, the holders of the Warrants who do not exercise their rights to subscribe for the new FITTERS Shares by 5.00 p.m. on the Entitlement Date and whose names appear in the Record of Depositors for Warrants of the Company by 5.00 p.m. on the Entitlement Date shall be entitled to the Adjustments instead.
