The terms used herein shall, unless the context otherwise stated, bear the same meaning as those defined in the circular to the shareholders of LITRAK Holdings dated on 15 May 2023 (“Circular”). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as those defined in the Circular.

Reference is made to the Company’s announcements dated 13 October 2022, 1 November 2022, 29 November 2022 and 28 February 2023 in relation to the Company’s plan to distribute the proceeds from the Disposals by way of a special cash dividend and capital repayment (“Proposed Distributions”).

Accordingly, on 6 April 2023, it was announced that the Company had proposed to undertake the Proposed Capital Reduction and Repayment, which involves a cash distribution of RM275.78 million on a pro-rata basis to the Entitled Shareholders.

Upon completion of the Proposed Capital Reduction and Repayment, the Company proposes to submit an application to Bursa Securities in accordance with Paragraph 16.08 of the Listing Requirements for the Proposed Delisting to voluntary withdraw the Company’s listing from Bursa Securities.

The EGM, which will be conducted virtually, to consider and pass the resolutions pertaining to the Proposals has been fixed for 6 June 2023 at 3.00 p.m.

The Proposed Capital Reduction and Repayment is another step by the Company in completing the Proposed Distributions following the payment of the special dividend of RM4.57 per share on 17 November 2022.

Pending the outcome of the forthcoming EGM, any further developments on the Proposed Distributions will be announced accordingly.
