LINGKARAN TRANS KOTA HOLDINGS BERHAD ("LITRAK HOLDINGS" OR "COMPANY")

CAPITAL REPAYMENT EXERCISE BY WAY OF CASH DISTRIBUTION OF RM0.5063 PER LITRAK SHARE PURSUANT TO SECTION 116 OF THE ACT

1)  The above Company's securities will be traded and quoted "Ex - Repayment” as from: 09 Aug 2023
2)  The last date of lodgment : 10 Aug 2023
3)  Date Payable : 24 Aug 2023

Remarks :

Reference is made to the Company's announcements dated 6 April 2023, 6 June 2023,12 June 2023 and 26 July 2023 ("Announcements"), as well as the circular to shareholders dated 15 May 2023 in relation to the Proposals ("Circular"). Unless otherwise defined, the definitions used in this announcement shall have the same meanings as those defined in the Announcements and Circular.

The Entitlement Date for the Capital Repayment (as defined herein) shall be on Thursday, 10 August 2023.

The capital repayment will be implemented by way of a capital reduction and repayment exercise of RM0.5063 for each LITRAK Share under Section 116 of the Act ("Capital Repayment"), as approved by the Company's shareholders on 6 June 2023 and confirmed by the High Court on 26 July 2023.

The entitled shareholders, whose names appear in the Record of Depositors of the Company on the close of business at 5.00 p.m. on Thursday, 10 August 2023, shall be entitled to receive a cash distribution of RM0.5063 for each LITRAK Share held in respect of:-

(a) LITRAK Shares transferred into their CDS account(s) on or before 4.30 p.m. on Thursday, 10 August 2023 in respect of ordinary transfers; and

 (b) LITRAK Shares bought on Bursa Securities on a cum-entitlement basis according to the rules of Bursa Securities.

The trading of LITRAK Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on Wednesday, 9 August 2023. Accordingly, the last time and date for trading of LITRAK Shares on the Main Market of Bursa Securities prior to the suspension shall be 5.00 p.m. on Tuesday, 8 August 2023.

The trading of LITRAK Shares on the Main Market of Bursa Securities will continue to be suspended until the completion of the Proposed Delisting whereby the Company will be subsequently delisted from the Official List of Bursa Securities.

The notice to shareholders in relation to the suspension of trading of LITRAK Shares and the Entitlement Date will be despatched to the Company's shareholders in due course.
