Further to the announcement made on 18 July 2024, the Company wishes to inform that the following six (6) dormant subsidiaries of the Company (“Dormant Subsidiaries”), which were placed under member’s voluntary winding-up pursuant to Section 439(1)(b) of the Companies Act 2016 (“Voluntary Winding-Up”), have held their final meetings and dissolved/pending dissolution:-

1. Antioni Sdn. Bhd. (“Antioni”)
2. Asia Brands Assets Management Sdn. Bhd. (“ABAM”)
3. Asia Brands Global Sdn. Bhd. (“ABG”)
4. Bumcity Sdn. Bhd. (“Bumcity”)
5. Mickey Junior Sdn. Bhd. (“MJSB”)
6. Diesel Marketing Sdn. Bhd. (“DMSB”)

Antioni, ABAM and ABG were dissolved on 3 July 2025 i.e. after the expiration of three (3) months from the date of lodgement of the Return by Liquidator relating to Final Meeting with the Companies Commission of Malaysia, whereas Bumcity and MJSB is expected to be dissolved by 25 July 2025, and DMSB by 26 October 2025.

The dissolution of the Dormant Subsidiaries will not have any material financial and operational impact on the Company and its group of companies for the financial year ending 31 March 2026.

None of the Directors or major shareholders of the Company, or persons connected with them, has any interest, direct or indirect, in the abovementioned dissolution.
