The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Private Placement.

We refer to the earlier announcements dated 4 July 2025, 14 July 2025 and 21 July 2025 in relation to the Private Placement.

On behalf of the Board, UOBKH wishes to announce Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 28 July 2025, approved the listing and quotation of up to 318,887,411 new ordinary shares in Mudajaya to be issued pursuant to the Private Placement.

The approval by Bursa Securities for the Private Placement is subject to the following conditions:-

i. Mudajaya and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Private Placement;

ii. Mudajaya and UOBKH to inform Bursa Securities upon the completion of the Private Placement;

iii. Mudajaya to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Private Placement is completed;

iv. Mudajaya to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders of the Company pursuant to Sections 75 and 76 of the Companies Act 2016, in the event the current general mandate expires prior to the completion of the Proposed Private Placement; and

v. Additional listing fee payable based on the final issue price together with a copy of the details of the computation of the amount of listing fees payable (where applicable).
