Unless stated otherwise, the terms used herein shall carry the same meaning as those defined in the earlier announcements in relation to the Proposed Private Placement.

We refer to the earlier announcements dated 18 July 2025 and 23 July 2025 in relation to the Proposed Private Placement.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities had, vide its letter dated 30 July 2025, approved the listing and quotation of up to 70,356,196 Placement Shares to be issued pursuant to the Proposed Private Placement subject to the following conditions:-

1. TCS and UOBKH must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;
2. TCS and UOBKH to inform Bursa Securities upon the completion of the Proposed Private Placement;
3. TCS to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Private Placement is completed; and
4. UOBKH to furnish Bursa Securities with details of the placees as per Rule 6.16 of the Listing Requirements for its review, prior to the issuance/ allotment of the Placement Shares.
