(Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the announcement dated 14 March 2025)

Reference is made to the Company’s announcement dated 14 March 2025. 

The Board of Directors of CHB (“Board”) wishes to inform that: (i) CHB’s wholly-owned subsidiary namely Carzo Import Sdn. Bhd. (“CISB”), (ii) Dato’ Sri Delon Lee Kean Yip (“LKY”) (being the guarantor for the Loan granted by RHB Bank Berhad (“RHB”) to CISB), and (iii) the Company (being the corporate guarantor for the Loan granted by RHB to CISB), had on 06 August 2025, been served with a demand for the sum under the Judgment dated 30 May 2025 filed by Messrs. Che Mokhtar & Ling, the solicitors of RHB, at the High Court of Malaya in Kuala Lumpur.

Pursuant to the Judgement, CISB is required to pay RHB:

(a) The sum of RM1,767,440.68 as at 03 March 2025 under the PLM-Term Loan;

(b) The interest on the sum of RM1,767,440.68 at 3.50% per annum in addition to Base Lending Rate calculated at daily basis from 04 March 2025 until the date of full settlement; and 

(c) The cost of RM5,000.00 subject to allocator payable by CISB, LKY and CHB jointly or severally to RHB.

CISB is a major subsidiary of the Company incorporated in Malaysia, principally involved in trading in all types of fruits, vegetables and related products. 

The Board is of the view that there will be no additional financial impact arising from the Judgment.  The Board also wishes to inform that there will be no operational impact arising from the Judgment as the Group had ceased its core business for the distribution of fresh fruits and fruits products for the time being since November 2024. 

The Company has sought legal advice on the above matter and further announcement on the development of the above matter will be made to Bursa Malaysia Securities Berhad in due course.
