MBSB-WA - NOTICE OF RIGHTS ENTITLEMENT

LISTING'S CIRCULAR NO. L/Q : 69465 OF 2013

ADJUSTMENT TO THE NUMBER OF WARRANTS 2011/2016 (“WARRANTS”) OF MALAYSIA BUILDING SOCIETY BERHAD (“MBSB”) IN ACCORDANCE WITH THE DEED POLL DATED 21 APRIL 2011 PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 889,807,870 NEW ORDINARY SHARES OF RM1.00 EACH IN MBSB (“MBSB SHARES”) (“RIGHTS SHARES”) ON THE BASIS OF ONE (1) RIGHTS SHARE FOR EVERY TWO (2) EXISTING MBSB SHARES HELD AT 5.00 P.M. ON 26 DECEMBER 2013 AT AN ISSUE PRICE OF RM1.65 (“RIGHTS ISSUE”) (“ADJUSTMENT”).

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted [ "Ex - Adjustment" ]
as from : [ 23 December 2013 ]

2) The last date of lodgement : [ 26 December 2013 ]

Remarks :- Reference is made to MBSB’s announcement dated 10 October 2013, 25 October 2013, 19 November 2013, 24 November 2013 and 10 December 2013 (“Earlier Announcements”) and the circular dated 25 November 2013 (“Circular”) in relation to the Proposed Rights Issue. Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcements and Circular.

The last date for the Warrant Holders to submit their duly completed Warrant’s subscription form together with the subscription monies to exercise their Warrants into MBSB Shares in order for the said MBSB Shares to be credited into their respective depositors’ securities account and for their name to appear in the Record of Depositors prior to the Entitlement Date of 26 December 2013 is on 16 December 2013.

The subscription form is to be submitted to the MBSB’s registrar, Equiniti Services Sdn Bhd at Level 8, Menara MIDF, 82 Jalan Raja Chulan, 50200 Kuala Lumpur.

The Warrants Holders who do not exercise their Warrants by 5.00 p.m. on 16 December 2013 and subsequently whose names appear in the Register of Warrant Holders by 5.00 p.m. on the Entitlement Date shall accordingly not be entitled to the Rights Issue and their Warrants be subjected to the Adjustment.

For illustrative purposes, Warrant Holders holding 1,000 Warrants will have the number of Warrants adjusted to 1,161 Warrants from the existing 1,000 Warrants held.

Any adjustment to the number of Warrants held by each Warrant Holder will be rounded down to the nearest whole Warrant.

A notice setting out the Adjustments will be despatched to the Warrant Holders in due course.

The final number of additional warrants to be issued and allotted will depend on the number of unexercised Warrants on 26 December 2013 and shall be listed and quoted simultaneously with the Rights Shares.
