1. INTRODUCTION

The Board of Directors ("the Board”) of BM GreenTech Berhad (“BMG”) wishes to announce that its indirect wholly-owned subsidiary, Plus Xnergy Services Sdn. Bhd. (“PXS”), has entered into two separate agreements with Nefin V Power Sdn. Bhd. (“NVP”), i) Engineering and Construction Agreement and ii) Procurement Agreement on 15 August 2025, involving a 29.99 MWac Solar Photovoltaic Plant under the New Enhanced Dispatch Arrangement ("NEDA") under the Corporate Green Power Project (“CGPP“) initiative (“Project”).

2.  INFORMATION ON PXS

PXS was incorporated in Malaysia as a private company limited by shares and having its registered address at 12th Floor, Menara Symphony, No. 5, Jalan Prof. Khoo Kay Kim, Seksyen 13, 46200 Petaling Jaya, Selangor Darul Ehsan. PXS is an indirect wholly-owned subsidiary of BMG, held through Plus Xnergy Holding Sdn Bhd (“PXH”).

The nature of business of PXS is developing, installing, providing and maintaining solar PV system and to provide consultancy for the development, management, designing, integration, improvement and construction of all kinds of solar energy systems.

3. INFORMATION ON NVP

NVP was incorporated in Malaysia as a private company limited by shares and having its registered address at No.108-B-02-10, Setia Spice Canopy, Jalan Tun Dr. Awang, 11900 Bayan Lepas, Pulau Pinang, Malaysia.

The nature of business of NVP is the operation of generation facilities that produce Electric Energy installation of non-electric solar energy collectors, operation of transmission, distribution and sales of electricity.

4. DETAILS OF THE AGREEMENTS

The contract sum for the Procurement Agreement is RM64,865,000.00 (Ringgit Malaysia: Sixty Four Million Eight Hundred Sixty Five Thousand Only) to procure and supply machinery, equipment, materials and tools, including but not limited to photovoltaic (PV) panels, mounting structures.

The contract sum for the Engineering and Construction Agreement is RM30,135,000.00 (Ringgit Malaysia: Thirty Million One Hundred and Thirty Five Thousand Only) to provide design, engineering, project and construction management of the solar farm.

5. FINANCIAL EFFECTS

Barring any unforeseen circumstances, the Project is expected to contribute positively to the net assets and earnings per share of BMG and its group of companies (“BMG Group”) for the financial year ending 31 March 2026 and onwards until the completion of the Project.

6. RISK FACTORS

The Company does not foresee any exceptional risk other than the normal project, contractual and risks from external factors associated with the execution of the Project. Nevertheless, the Company will take the necessary steps to mitigate the risks as and when they occur.

7. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS

None of the Directors and/or major shareholders of the Company or persons connected with them has any interest, direct or indirect, in the Agreements.

8. STATEMENT BY THE BOARD OF DIRECTORS

The Board of Directors of the Company is of the opinion that the Project is within the ordinary course of business of BMG Group and the execution of the Agreements are in the best interest of BMG.
