(Reference is made to the Company’s announcements dated 17 December 2024, 13 January 2025, 10 March 2025, 28 March 2025, 11 April 2025, 24 June 2025, 11 July 2025 and 16 July 2025  in relation to the Proposals (“Announcements”). All abbreviations and definitions used herein shall have the same meanings as the words and expressions defined in the Announcements.)

On behalf of the Board, Maybank IB wishes to announce that the Company has resolved to fix the issue price of the RCPS (“Subscription Price”) at RM0.11 per RCPS after taking into consideration, amongst others, the following:

1. the TERP of Parkwood Shares based on the 5D-VWAP of Parkwood Shares up to and including 10 July 2025, being the last market day preceding the Price-Fixing Date of RM0.0916 per Parkwood Share;
2. the funding requirements of the Group and timing of such funding requirements; and
3. the salient terms of the RCPS, as set out in Appendix 2 of the circular to shareholders in relation to the Proposals dated 17 April 2025.

The Subscription Price represents a premium of approximately 20.00% to the TERP of Parkwood Shares of RM 0.0905. The TERP was computed based on the 5D-VWAP of Parkwood Shares up to and including 10 July 2025, being the last market day immediately preceding the Price-Fixing Date of RM0.0916 per Parkwood Share.

For information purposes only, the Subscription Price also represents a premium of approximately 26.87% to the TERP of Parkwood Shares of RM0.0867, which was computed based on the 5D-VWAP of Parkwood Shares up to and including 19 August 2025, being the last market day immediately preceding this announcement.
