Unless otherwise stated, all abbreviations used herein shall have the same meaning as defined in the offer document in relation to the Offer dated 16 June 2025 ("Offer Document") and the press notice in relation to the extension of the closing time and date for acceptance of the Offer dated 3 July 2025.

Reference is made to the Offer Document which sets out the details, terms and conditions of the Offer, the press notice in relation to the extension of the closing time and date for acceptance of the Offer dated 3 July 2025, the press notice in relation to the Offeror and the PACs collectively holding more than 90.0% of the total issued shares of FGV dated 29 July 2025 and the press notice in relation to the closing of the Offer dated 15 August 2025.

The Board of FGV wishes to announce that FGV has on 22 August 2025, received the press notice from Maybank IB, on behalf of the Offeror (“Press Notice”), informing that the Offeror has, on 22 August 2025, posted the notice to the Dissenting Holders (“Notice to Dissenting Holders”), informing them that they may exercise their rights under subsection 223(1) of the CMSA, by serving a notice on the Offeror to require the Offeror to acquire their FGV Shares on the same terms as set out in the Offer Document or such other terms as may be agreed or as the High Court, on application made to it by the Dissenting Holders or by the Offeror, thinks fit to order under subsection 224(3) of the CMSA.

If the Dissenting Holders wish to exercise their rights in accordance with subsection 223(1) of the CMSA, they can serve a notice on the Offeror to require the Offeror to acquire their FGV Shares, whereby such acquisition shall be done on the same terms as the Offer (including at the same offer price of RM1.30 for each Offer Share) as set out in the Offer Document.

To give the Offeror notice to acquire their FGV Shares on the same terms as the Offer as set out in the Offer Document, the Dissenting Holders may, by 5.00 p.m. (Malaysian time) on Thursday, 15 January 2026, being a date not less than three (3) months from the Final Closing Date, serve a notice on the Offeror requiring the Offeror to acquire the FGV Shares held by them.
