The Board of Directors of Privasia Technology Berhad (“Privasia” or “the Company”) wishes to announce that an ESOS Committee has been established effective on 2 September 2025.

The establishment of the ESOS Committee follows the passing of the following resolutions at the Annual General Meeting of the Company held on 26 June 2025:

1. the establishment of an Employees’ Share Option Scheme (“ESOS”) for eligible directors and employees of Privasia and its subsidiaries (excluding dormant subsidiaries, if any); and
2. the allocation of ESOS options to eligible directors of Privasia pursuant to the ESOS.

In accordance with the Terms of Reference of the ESOS Committee, the composition of the Committee is as follows:

• Chairman of the Nomination and Remuneration Committee (Chairman)
• Group Chief Executive Officer (Member)
• Group Chief Financial Officer (Member)
• Group Chief Operating Officer (Member)
• Representative from the Human Resources Department (Member)
