The Board of Directors of PinePac (“Board”) refer to the First Announcement made on 3 September 2019 and the subsequent monthly announcements in relation to Company being classified as an affected listed issuer pursuant to Paragraph 8.03A(2) of the Main Market Listing Requirements (“MMLR”) of Bursa Malaysia Securities Berhad.

Unless otherwise defined, the definitions set out in the previous announcements shall apply herein.

The Board wishes to inform that subsequent to our announcement dated 1 August 2025, there is no material development on the status of the Company’s regularisation plan. The Board is cognizant of the timeline to regularize its financial conditions and will endeavour to source for opportunities as per the MMLR.

The Company will make the relevant announcement should there be any material development in relation to its regularisation plan.

In addition, the Company received a letter from its major shareholder, Allgrow Capital Holdings Sdn Bhd ("ACHSB") on 31 July 2025, notifying the Company of its intention to privatise PinePac via a selective capital reduction and repayment exercise pursuant to section 116 of the Companies Act 2016 (“Proposed SCR”). Subsequently, the Board had on 28 August 2025 written to ACHSB to request an extension of time to respond to Proposed SCR. ACHSB has agreed to grant PinePac an extension until 30 September 2025 to provide its decision on whether to table the Proposed SCR to the disinterested shareholders of PinePac for their consideration and approval.
