Unless otherwise stated or redefined, all abbreviations and definitions used herein shall have the same meanings as those used in the announcements dated 8 April 2025, 19 June 2025, 12 August 2025 and 13 August 2025 (“Announcements”) as well as the circular dated 13 August 2025 (“Circular”) in relation to the Proposals.
On behalf of the Board, M & A Securities wishes to announce that the Conditions Precedent under the JVA have been fulfilled. Accordingly, the JVA and the Addendum JVA for the Joint Venture became unconditional on 29 August 2025.
In addition, we wish to highlight that the completion date refers to the date on which the phases of the Project are completed, which shall be within 28 months from the satisfaction of the conditions subsequent (including any extensions of time), as stipulated in Section 5 of the Appendix I - Salient Terms of the JVA of the Circular.
