The Board of Directors of EVD Berhad wishes to announce that EVD Engineering Sdn. Bhd. (“EVDE”), a wholly-owned subsidiary of the Company, had on 3 September 2025 been served with a Notice of Adjudication (“NOA”) pursuant to Sections 7 and 8 of the Construction Industry Payment and Adjudication Act 2012 (“CIPAA”), by FastFix Sdn. Bhd. (“FastFix”) through solicitors, for a claim amount of RM807,870.33 purportedly due and owing to FastFix.

Further details pertaining to the NOA are as follows:

1) Particulars of the claim

Pursuant to the NOA, FastFix is seeking amongst others, the following reliefs and remedies (non-exhaustive):

(a) Payment of the sum of RM807,870.33;

(b) Pre-decision interest at the rate of 5% per annum from the respective time due for payment to the date of decision;

(c) Costs;

(d) All Asian International Arbitration Centre’s fees incurred by FastFix pursuant to this adjudication including the 8% service tax and permissible disbursements;

(e) Post-decision interest on the adjudicated sum, being the total sums claimed in paragraphs (a), (b), (c) and (d) above at the rate of 5% per annum from the date of decision until date of full settlement; and

(f) Any further or other relief deems fit and proper by the adjudicator.

2) Details of the circumstances leading to the filing of the NOA

This adjudication arises from the disputes concerning the project known as “Projek Mass Rapid Transit Laluan 2: Sungai Buloh – Serdang – Putrajaya (SSP) - Design, Supply, Installation, Testing, Commissioning and Maintenance of Mechanical & Electrical Works Which Forms Part of The Main Sub-Contract for the Construction, Completion, Testing, Commissioning, Care and Maintenance of KLCC East Station”, whereby FastFix was appointed as the sub-contractor in respect of the sub-contract works for “Supply, Delivery, Installation, Testing, Commissioning And Maintenance of Cold Water, Sanitary And Dewatering Works” (“Sub-Contract Works”) pursuant to the Letter of Award dated 26 August 2020.

FastFix claimed that it had duly carried out the Sub-Contract Works, including the variation works instructed by EVDE (“the Works”). FastFix further claimed that as of 3 September 2025, EVDE owes FastFix a balance outstanding sum of RM807,870.33 (inclusive of retention sum of RM63,421.09 and performance bond of RM55,000.00).

3) A confirmation as to whether EVDE is a major subsidiary

EVDE is not a major subsidiary of the Company and the Company’s total cost of investment in EVDE is RM5,000,000.00.

4) Proposed steps to be taken in respect of the NOA

EVDE is seeking the necessary legal advice to resolve and/or defend against this matter.

5) Financial and Operational Impact of the NOA

As at the date of this announcement, the NOA is not expected to have material financial impact (except for the potential liability amounting to RM807,870.33) and does not have any operational impact on the Group.

6) The expected losses, if any arising from the NOA

The expected losses, if any, arising from the NOA is RM807,870.33.

The Company will make further announcement on any material development on this matter.
