The Board of Directors of TXB wishes to announce that the Company had on 8 September 2025 received a notice in writing dated 28 August 2025 given pursuant to Section 281(1) of the Companies Act, 2016 (“CA 2016”) from HLB Ler Lum Chew PLT on their resignation as Auditors of the Company. Pursuant to Section 281(2) of the CA 2016, HLB Ler Lum Chew PLT term of office will end after 21 days from 28 August 2025. The resignation of HLB Ler Lum Chew PLT is on a voluntary basis as the Company could not reach a consensus on the proposed audit fees for the financial period from 1 July 2024 to 31 December 2025.

Save for the above, the Board of Directors of TXB wishes to inform that the Company is not aware of any other matters that need to be brought to the attention of the shareholders of TXB.

Further announcement will be made by the Company in due course once the appointment of new auditors is finalised by the Company.
