The Board of Directors of Nexgram Holdings Berhad ("NHB" or "the Company") wishes to announce that the Company had on 10 September 2025 received a notice in writing dated 8 September 2025 from Thelyx Malaysia PLT on their resignation as Auditor of the Company and Group with immediate effect. 

Thelyx Malaysia PLT was re-appointed as the Auditors of the Company at the last Annual General Meeting (“AGM”) of the Company held on 4 July 2024 and was to hold office until the conclusion of the next AGM of the Company. 

The resignation of Thelyx Malaysia PLT is due to resource constraints faced in fulfilling the stipulated reporting timelines under the Bursa Malaysia Listing Requirements. After careful consideration, Thelyx Malaysia PLT concluded that they would not be able to continue the engagement while maintaining the standards expected of them as the Company’s external auditor.

Save for the above, the Board wishes to inform that the Company is not aware of any other matters or circumstances that may be required to be brought to the attention of the shareholders of the Company.

Further announcement on the appointment of a new Auditor will be made by the Company in due course once it is deliberated and finalised by the Board.
