Reference is made to the Company's earlier announcement dated 8 September 2025 in relation to the resignation of HLB Ler Lum Chew PLT as the Auditors of the Company.

The Board of Directors of TXB wishes to issue this clarification to provide further information regarding the reason for the resignation.

The Company had previously stated that the resignation of HLB Ler Lum Chew PLT was on a voluntary basis due to the inability to reach a consensus on the proposed audit fees for the financial period from 1 July 2024 to 31 December 2025.

The Board wishes to clarify that the resignation of HLB Ler Lum Chew PLT was not due to any disagreement or inability to reach consensus on the proposed audit fees, and the earlier statement may have inadvertently caused confusion on this matter.

HLB Ler Lum Chew PLT resigned on a voluntary basis and confirmed in their notice of resignation stated that there were no circumstances connected with their resignation that need to be brought to the attention of the shareholders of the Company.

The Board also confirms that there were no disagreements between the Company and the Auditors on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure.

The Company will make a further announcement in due course once the appointment of the new auditors is finalised.
