On 3 June 2025, the Board of Directors of Edelteq (the "Board") announced that Edelteq Ventures Sdn. Bhd. ("EVSB"), a wholly-owned subsidiary of the Company, had on even date entered into a joint venture agreement with Halo Technologies Sdn. Bhd. ("HTSB") for the establishment of a joint venture company in Malaysia under the name of Halovision System Sdn. Bhd. to conduct research and development, manufacturing, and commercialization of Automated Optical Inspection Machines, with the intent of targeting applications in Substrate Panel (Raptor series) and Semiconductor Wafer Level (i-Falke series) Inspection.

Following the above, the Board wishes to announce that the JV Company had on 11 September 2025 entered into the following:-
i.  a Share Subscription Agreement ("SSA") with KMP, John Hyung Moon, Lee Kim Loon, HTSB, EVSB for the issuance of up to 10,666 new redeemable convertible cumulative preference shares ("RCCPS") by Halovision and the allotment of 2 ordinary shares in Halovision (collectively, "Subscription Shares"), which will be subscribed by KMP with an aggregate investment amount of up to RM3.20 million ("Investment Amount") for the Subscription Shares. This allows KMP to invest and participate in the equity interest of the JV Company; and
ii.  a shareholders' agreement with John Hyung Moon, Lee Kim Loon, HTSB, EVSB and KMP ("Shareholders' Agreement") to govern their rights and obligations as shareholders of Halovision in accordance with the terms and conditions set out in the Shareholders' Agreement.
