On behalf of the Board of Directors of Daythree ("Board"), UOB Kay Hian (M) Sdn Bhd (formerly known as UOB Kay Hian Securities (M) Sdn Bhd) ("UOBKH") wishes to announce the following:-

i. Daythree Business Services Sdn Bhd ("DBSSB") (a wholly-owned subsidiary of Daythree) had on 17 September 2025 entered into a teaming agreement with FPT Software Malaysia Sdn Bhd ("FPT Malaysia") to collaborate and undertake projects for the provision of business process services ("BPS") and information technology ("IT") services ("Teaming Agreement"); and

ii. Daythree had on 17 September 2025 entered into a conditional share subscription agreement with FPT Malaysia ("Subscription Agreement") for FPT Malaysia to subscribe for 66,666,000 new ordinary shares in Daythree ("Daythree Share(s)" or "Share(s)") ("Subscription Share(s)"), at an issue price of RM0.165 ("Subscription Price") per Subscription Share to be fully satisfied in cash in accordance with the terms and conditions of the Subscription Agreement ("Proposed Subscription").

(Collectively referred to as the "Proposals").
