CATCHA - Notice of Rights Entitlement (Ratio)

RENOUNCEABLE RIGHTS ISSUE OF UP TO 90,120,544 NEW ORDINARY SHARES IN CATCHA DIGITAL BERHAD ("CATCHA DIGITAL" OR "COMPANY") ("SHARES") ("RIGHTS SHARES") ON THE BASIS OF 1 RIGHTS SHARE FOR EVERY 4 SHARES HELD AS AT 5.00 P.M. ON 6 OCTOBER 2025 AT AN ISSUE PRICE OF RM0.27 PER RIGHTS SHARE, TOGETHER WITH UP TO 180,241,088 FREE DETACHABLE WARRANTS IN CATCHA DIGITAL ("WARRANTS") ON THE BASIS OF 2 WARRANTS FOR EVERY 1 RIGHTS SHARE SUBSCRIBED FOR ("RIGHTS ISSUE OF SHARES WITH WARRANTS")

Kindly be advised of the following :

1) The above Company’s securities will be traded and quoted “Ex-Rights Issue” as from: 03 Oct 2025
2) The last date of lodgment : 06 Oct 2025
3) Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-       
          a) Selling Broker to deduct 1/5, of Selling Price against the Selling Client
          b) Buying Broker to deduct 10%, of Purchase Price against the Buying Client
          c) Between Broker and Broker, the deduction of 1/5, of the Transacted Price is applicable.

Remarks :

The abridged prospectus, together with the Rights Subscription Form and the Notice of Provisional Allotments relating to the Rights Issue of Shares with Warrants (collectively referred to as "Documents") will only be despatched to the shareholders of the Company whose names appear in the Company's Record of Depositors as at 5.00 p.m. on 6 October 2025 ("Entitlement Date") ("Entitled Shareholders") at their registered addresses in Malaysia or who have provided the Company's share registrar, Boardroom Share Registrars Sdn Bhd, with their Malaysian address in writing by 5.00 p.m. on the Entitlement Date. Entitled Shareholders who do not have a registered address in Malaysia and wish to provide their Malaysian address, should inform their respective stockbrokers to effect the change of address by 5.00 p.m. on the Entitlement Date. 

The Documents are not intended to be (and will not be) issued, circulated or distributed in any countries or jurisdictions other than Malaysia. No action has been or will be taken to ensure that the Rights Issue of Shares with Warrants or the Documents comply with the laws of any countries or jurisdictions other than the laws of Malaysia.

The Documents will be despatched to the Entitled Shareholders no later than 2 market days after the Entitlement Date.
