Reference is made to the Company’s announcements dated 10 April 2025, 7 May 2025, 8 May 2025 and 23 June 2025 in relation to the Share Capital Reduction (“Announcements”). Unless otherwise defined, the definitions used in this announcement shall have the same meaning as previously defined in the Announcements.

On behalf of the Board, M & A Securities wishes to announce that the Company has not received any application under Section 118(2) of the Act for the cancellation of the special resolution passed at the EGM held on 23 June 2025 for the Share Capital Reduction. Pursuant thereto, the Company had lodged the relevant documents as required under Section 119(1) of the Act with the Registrar of Companies, and subsequently on 24 September 2025, received a notice dated 23 September 2025 issued by the Registrar of Companies confirming the reduction of share capital (“Notice”).

Pursuant to Section 119(4) of the Act, the Notice shall be conclusive evidence that all the requirements of the Act with respect to the reduction of share capital have been complied with. Accordingly, the Share Capital Reduction takes effect on 23 September 2025.

Following the completion of the Share Capital Reduction, the issued share capital of the Company is RM60,615,592 comprising 430,562,384 FEHB Shares.
