We refer to the announcements dated 4 December 2024, 23 January 2025, 14 March 2025, 4 April 2025, 7 April 2025, 23 April 2025, 25 April 2025, 9 May 2025, 15 May 2025, 4 June 2025, 7 July 2025, 15 August 2025, 18 August 2025, 27 August 2025, 28 August 2025,10 September 2025 and 11 September 2025 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.
On behalf of the Board, TA Securities wishes to announce that BPSB and Binasat Asset Sdn Bhd (formerly known as Sengchea Group Sdn Bhd) (“BASB”), a wholly-owned subsidiary of Binasat, had on 25 September 2025 (“Effective Date”) entered into separate novation agreements with the SBP Vendors, HAMSB and HIBMSB (the SBP Vendors, HAMSB and HIBMSB are collectively referred to as the “SBP Continuing Parties”) to novate BPSB’s rights and liabilities under each SBP SPAs and LAs to BASB (collectively, the “SBP Novation Agreements”).
Pursuant to the SBP Novation Agreements, in consideration of the payment by BASB to BPSB of an amount equivalent to the aggregate amount paid by BPSB to the respective SBP Vendors as at the Effective Date and the novation of the SBP SPAs by BPSB to BASB, the parties have agreed that on and from the Effective Date:
(i) the SBP Continuing Parties accept BASB as a party to the respective SBP SPAs and LAs in place of BPSB; and (ii) BASB undertakes to BPSB and the SBP Continuing Parties to perform the SBP SPAs and LAs and be bound by its terms and conditions in every way as a party thereto.
On even date, BPSB and Binasat Development Sdn Bhd (formerly known as ENIG Sdn Bhd) (“BDSB”), a wholly-owned subsidiary of Binasat, had entered into a novation agreement with CASB to novate BPSB’s rights, obligations and liabilities under the Empire City SPA to BDSB (“Empire City Novation Agreement”).
Pursuant to the Empire City Novation Agreement, in consideration of the payment by BDSB to BPSB of an amount equivalent to the aggregate amount paid by BPSB to CASB as at the Effective Date, the parties have agreed that on and from the Effective Date:
(i) BPSB assigns and transfers absolutely, without reservation to BDSB, and BDSB shall accept and assume all of BPSB’s rights, title, benefits, interests and obligations under the Empire City SPA; (ii) CASB accepts BDSB as a party to the Empire City SPA in place of BPSB; and (iii) BDSB undertakes to BPSB and CASB to observe and perform all the obligations of BPSB as well as to observe each of the covenants, stipulations, terms and conditions howsoever arising under the Empire City SPA in substitution for BPSB and be bound by its terms and conditions in every way as a party thereto.
