The Board of Directors of Country Heights Holdings Berhad ( “the Company”) wish to refer to the Winding-Up Petition No. BA-28NCC-368-05/2025 (“Winding-Up”) filed in the High Court of Malaya at Shah Alam by Mr. Kevin Liang Choon Yee (“the Petitioner”) against Tindak Murni Sdn Bhd (“TMSB”), a wholly-owned subsidiary of the Company.  The Petitioner claimed an outstanding amount (as at November 2025) of RM1.35million against TMSB’s who have an asset value of RM64.1million.

The Board Director of the Company wish to announce that as at 8th September 2025, the parties have reached a full and final settlement of RM1.05million.  The Petitioner, through their  counsel, informed the High Court of Malaya at Shah Alam that they are withdrawing the Winding-Up Petition.   The Counsel for both parties via video conference   confirmed regarding the settlement to the Learned Judge of the High Court of Malaya at Shah Alam who subsequently ordered for the Winding-Up to be withdrawn with no liberty to file afresh and with no order as to cost. 

The sealed Order dated 8th September 2025 has been duly extracted and served upon the TMSB’s solicitors on 25th September 2025.

Accordingly, this matter is now considered closed and no further action is pending before the Shah Alam High Court.

Financial/Operational Impact 

The settlement and closure of the winding-up proceedings have no material financial or operational impact on the CHHB Group.
