The Board of Directors of HCK ("Board") wishes to announce that its wholly-owned subsidiary, HCK Properties Sdn Bhd ("HPSB" or the "Vendor"), had on 26 September 2025 entered into the following:-

i. a shares sale agreement ("SSA") with Sinar Pavilion Sdn Bhd ("SPSB" or the "Purchaser") and ADSB for the purpose of disposing of 23,545,680 ordinary shares in ADSB ("ADSB Shares" or "Sale Share(s)"), representing 51% equity interest in ADSB to SPSB for a cash consideration of RM61,200,000.00 (Ringgit Malaysia Sixty-One Million and Two Hundred Thousand Only) ("Disposal Consideration");

ii. a memorandum of escrow arrangement ("Memorandum") with the director and shareholder of the Purchaser, namely Morgan Yung Sze Kiong ("Pledgor") to deposit his ordinary shares in the Purchaser representing 95% equity interest in the Purchaser ("SPSB Shares") as security for the performance of the Purchaser under the SSA; and

iii. a shareholders agreement (“SHA”) with SPSB and ADSB to regulate the relationship of the shareholders and govern the management and operation of ADSB between the shareholders of ADSB upon completion of the Proposed Disposal.
