Reference is made to the Company’s announcement dated 26 September 2025 in relation to the Acquisitions. Unless otherwise stated, all definitions and terms used herein shall have the same meaning as defined in the said announcement.

The Board wishes to provide the following additional information pertaining to the Acquisitions:- 

1. Further to the basis and justification for purchase consideration as disclosed under item 2.4 of the previous announcement, the Board has assessed the purchase consideration of RM0.21 per share to be reasonable, as it is below Binacom’s Net Asset Value per share and reflects the intrinsic value of its underlying assets. In view of the limited market liquidity of Binacom shares, the acquisition of a sizeable 9.8% equity interest was undertaken through direct off-market negotiations to avoid undue impact on market pricing, while taking into account the scarcity of such sizeable shareholdings in the open market.

2. The Purchase Consideration 2 funded through a combination of internally generated funds and bank borrowings, with the breakdown as follows:-
