We refer to the announcements made on 16 June 2022, 21 June 2022, 14 December 2022,14 June 2023, 14 December 2023 and 14 June 2024 in relation to the Proposed Disposal (“Announcements”). For consistency purposes, the abbreviations used in this announcement are the same as those previously defined in the Announcements unless otherwise defined herein.
On behalf of the Board, Ta Win wishes to announce that Ta Win Copper Biohealth Sdn. Bhd. ("the Vendor"), a wholly-owned subsidiary of Ta Win, and Poly Laboratories Sdn. Bhd. and Jelita Serbaneka Sdn. Bhd. ("the Purchasers") have mutually agreed to terminate the Share Sale Agreement ("SSA"). The Mutual Termination Agreement is due to the Purchasers unable to source the financing for the purchase of the Shares. The termination of the SSA is by mutual agreement and does not contravene any of the provisions of the SSA and other relevant regulations.
The Board is of the view that the termination of the SSA will not have any material effect on the earnings of the Company or the net assets of the Group for the financial year ending 30 June 2026.
