Reference is made to the Company’s announcement dated 20 December 2024. Unless otherwise stated, the definitions and terms used herein shall have the same meaning as defined in the previous announcement.

Reference is made to the announcement dated 20 December 2024 in relation to the Shareholders’ Agreement (“the Agreement”) entered into between the Company with the following parties to regulate their respective rights, duties and obligations as the Shareholders vis-à-vis each other in relation to the operation, management, and affairs of Suzhou Thryda Co., Ltd. [Registration No. 91320583MAE6GXX64Y]:

1. Suzhou Nacotech Co., Ltd. [Registration No. 91320583MAE13RQK2B]; and
2. Zhu Bai Yu.

(collectively referred to as “the Parties” or “the Shareholders”)

The Board of Directors of the Company wishes to announce that the Company had on 24 October 2025 issued a notice of termination to the Parties to terminate the Agreement (“the Termination”) and the Parties had mutually agreed to the Termination.
