Reference is made to the Company’s announcement dated 3 July 2025 (“Announcement”). Unless otherwise defined in this announcement, all defined terms used herein shall have the same meaning as those defined in the Announcement.

The Board of Directors of the Company wishes to announce that the Company had on 3 November 2025 received a formal written notice of termination dated 28 October 2025 from Souqa regarding their decision on the cessation of the LOI for the Proposed Acquisition (“Notice of Cessation”).

Following preliminary internal evaluations and due-diligence assessments which revealed commercial and structural considerations that, in Souqa’s reasonable opinion, were materially adverse to the viability of the Proposed Acquisition. Furthermore, despite constructive and good-faith discussions between the Parties, the negotiations did not result in mutually acceptable terms that could form the basis for a definitive agreement.

As the LOI is non-binding and serves only as a statement of mutual intent without creating any legal obligations on either party in respect to the Proposed Acquisition. Following the Notice of Cessation served by Souqa, the Company agreed that the LOI shall be regarded as terminated in its entirety. Accordingly, neither party shall have any further rights or obligations arising therefrom, save for those clauses expressly intended to remain binding, including confidentiality, exclusivity, expenses, governing law and termination provisions.
